If you use this site on behalf of an organization, references in these Terms of Use to “you” and “your” are intended to be references to you individually and to your organization, both of which are to be bound.

Except as otherwise expressly provided in a written agreement, the Services, including files on Quadax’s website, are provided “AS IS” without express or implied warranties. Quadax disclaims any warranties of merchantability, fitness for a particular purpose, and non-infringement. While we make every effort to provide correct, up-to- date, and safe information, Quadax does not guarantee that the information in this website will be uninterrupted or free of errors, viruses, or other harmful elements. By using the Services, you acknowledge and agree that Quadax is not liable for damages resulting from its use, including indirect, incidental, special, punitive and consequential damages, or any loss of use, data, business or profits.

  • The Services, including any Licensed Content, are provided for administrative and informational purposes only and are not intended to constitute medical advice, clinical guidance, or professional judgment. Users are solely responsible for all medical, coding, billing, and reimbursement decisions.
  • By using this website, you agree to use it for lawful purposes only. You shall not copy, modify, reverse engineer, or otherwise exploit files on this website, except with prior written consent from Quadax. All trademarks, service marks, and trade names in this webite are the marks of the respective owner(s), and any unauthorized use thereof is strictly prohibited.
  • Our web applications, including the Quadax Portal, require a modern, supported web browser with JavaScript enabled and support for secure communications (TLS). We employ industry-standard security controls to protect user sessions and prevent unauthorized access.
  • All content on this website are intended for use within the United States and is subject to this geographic limitation.  You may not access or use the website or its underlying systems in any manner that could damage, disable, overburden, or impair the website or interfere with any other party’s use of the Site. You will not send unsolicited commercial e-mail (spam), misleading messages or other abusive e-mails. You  agree not to introduce or transmit  viruses, worms, spyware, adware, and other malicious code or programs to the Quadax website or network. You will not engage in any activity, including sending unnecessarily large volumes of data or requests for data to our domain, directly or indirectly, that could disrupt, degrade, or interfere with the performance or availability of the Services. Mail relay through this domain is prohibited.
  • Quadax reserves the right to monitor use of the Services to ensure compliance with these Terms and applicable law.
  • You agree that your use of this Site shall be governed by the laws of the state of Ohio and the United States, and that any and all disputes shall be resolved exclusively in Cleveland, Ohio. 
  • Certain pages on this website are dated by their nature (e.g., news articles, newsletters). Their content is designed to be true at the time of publishing, not necessarily at the time you read them.

Intellectual Property

 Unless otherwise indicated, the content, materials, software, systems, interfaces, and documentation made available through the Services are owned by or licensed to Quadax and are protected by applicable intellectual property laws. “Quadax” “is a registered service mark of Quadax, Inc.. Quadax reserves the exclusive right to its use, including but not limited to, the context of healthcare computer systems. All right, title, and interest in and to the Services, including all related intellectual property, remain with Quadax or its licensors. Except for the limited rights expressly granted herein, no rights are granted to you.

Quadax partners with and refers to other organizations and products throughout its website. Where not otherwise expressly stated, all third-party names, logos, and products referenced on this website are the property of their respective owners.

External Bot Usage/Use of Automation Tools

Users may not access or interact with any Quadax Systems (including but not limited to HARP, PAS, Xpeditor, the Client Portal, and other online applications) using bots, robotic process automation (RPA), artificial intelligence (AI) tools, or other similar technologies (“Automation Tools”) without prior written approval from Quadax. Such access is permitted only to support authorized business operations and must comply with all Terms of Use. Users may not use scraping methods—such as screen scraping, data scraping, web scraping, web emulation, or web bots—to obtain information from the services in an unintended manner or for unauthorized purposes.

To request approval, users must provide details about the Automation Tool and its purpose and functionality. Approved Automation Tools will be monitored to ensure they do not adversely affect system performance or violate best practices, such as excessive ticket creation. Quadax reserves the right to block or suspend access by any Automation Tool if it impacts performance or fails to adhere to best practices. Users are responsible for compliance and may face suspension or termination of access for non-compliance.

Approved users must implement safeguards to protect data and must not attempt to access or use any proprietary information or intellectual property beyond the scope of their authorization. Quadax will monitor use to ensure compliance and may block access if any misuse or compromise of the software is suspected, including unauthorized data collection or attempts to reverse engineer the software. Quadax reserves the right to terminate or suspend access immediately if it determines that the use of the Automation Tool violates our terms, adversely affects system performance, security, or integrity, or involves unauthorized data collection or misuse.

Artificial Intelligence Features and Outputs

Certain features of the Services may utilize artificial intelligence, machine learning, or other automated technologies to generate responses, recommendations, or other outputs (collectively, “AI Features”). These outputs are generated automatically and are not reviewed or approved by Quadax, and therefore may be inaccurate, incomplete, outdated, or misleading. The AI Features are provided for informational and administrative purposes only and are not intended to constitute, and must not be relied upon as, medical, clinical, coding, billing, reimbursement, legal, accounting, compliance, or other professional advice. Use of these features does not replace the need for independent professional judgment. You are solely responsible for reviewing, verifying, and validating all information generated through the Services, and all decisions, actions, and conclusions based on such information remain your sole responsibility. Quadax makes no representations, warranties, or guarantees that the AI Features will identify errors, compliance issues, irregularities, or deficiencies, or that use of the Services will result in any particular outcome or performance improvement. Without limiting any other provision of these Terms, Quadax shall have no liability for any claims, losses, or damages arising from or related to your use of, or reliance upon, any AI-generated outputs. 

Responsibility for Claim Data

The user is the creator and owner of all claim data, assumes responsibility for its accuracy and validity, and assures that all data accurately represents legitimate reimbursable services for which the user is authorized to bill. The user also assumes responsibility for ensuring that all data is accurately imported into the System and that data is accurate when released to Quadax for submission to the payer(s). The System provides data displays and reports which provide the user with the ability to verify the accuracy of the claim data. The user hereby agrees to review these displays and reports.

Limitation of Liability

 TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUADAX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF USE, DATA, BUSINESS, OR PROFITS, ARISING OUT OF OR RELATED TO THE SERVICES. If, notwithstanding the foregoing, Quadax is found liable for any damages, its total aggregate liability shall not exceed the amount paid (if any) by you for the Services in the six (6) months preceding the event giving rise to the claim. The foregoing warranties are in lieu of any and all other warranties expressed or implied, as to merchantability, fitness for a particular purpose, quality, productiveness or any other matter.

Indemnification

You agree to indemnify, defend, and hold harmless Quadax, its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, fines and expenses (including attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any applicable law or third-party rights.

Confidentiality of Product

The Quadax Systems and related material are the confidential intellectual property developed, owned, and distributed by Quadax. The user shall make every reasonable attempt to protect the confidentiality and security of the Systems, including its processing screens and reports. The user is responsible for safeguarding login credentials and preventing unauthorized access to the Systems. The user shall not copy, disclose or distribute any information related to the Systems, including product or process documentation.

THIRD PARTY LICENSED CONTENT End User Point and Click Agreement

Certain Quadax services and content made available through the website include or incorporate proprietary materials licensed from third parties, including: Current Procedural Terminology (CPT®), licensed from the American Medical Association (“AMA”); and the Official UB-04 Data Specifications Manual and/or UB-04 Data Set (“UB-04”), licensed from the American Hospital Association (“AHA”) (collectively, the “Licensed Content”).

All right, title, and interest in and to the Licensed Content remain with the applicable third-party licensors (including AMA and AHA). No ownership rights are transferred to you under these Terms.

Subject to your compliance with these Terms and any underlying agreement, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Licensed Content: solely as embedded within the Services; solely for your internal business purposes; and only in connection with healthcare claims processing, reimbursement, or related administrative functions.

You may not, and may not permit any third party to:

  • extract, scrape, copy, export, or otherwise remove Licensed Content from the services;
  • use Licensed Content separately from or outside of the services;
  • copy, modify, adapt, translate, distribute, or create derivative works of Licensed Content;
  • transfer Licensed Content to any third party not authorized under these Terms; or
  • use Licensed Content for any commercial purpose not expressly permitted.

Any use of Licensed Content not expressly authorized herein may require a separate license directly from the applicable licensor.

Licensed Content is provided “as is” by the applicable licensors. To the maximum extent permitted by law, neither the Company nor its licensors (including AMA and AHA) make any representations or warranties, express or implied, including as to accuracy, completeness, or fitness for a particular purpose.

Quadax may update these Terms of Use from time to time. Changes are effective upon posting. Continued use of the Services constitutes acceptance of the updated Terms.
